The UK’s Competition and Markets Authority (CMA) has concluded that Alphabet’s substantial investment in the AI startup Anthropic does not meet the criteria for further investigation under UK merger regulations.
The initial review was launched to assess whether the tech giant’s involvement could potentially stifle competition in the rapidly evolving AI sector. After examination of financial structures, including Alphabet’s convertible debt and non-voting shares, the CMA determined that Alphabet did not acquire material influence over Anthropic’s decision-making processes.
Concerns About Alphabet’s Influence
When Alphabet, the parent company of Google, made a $2 billion commitment to Anthropic, concerns arose over whether this funding might allow Alphabet to exert influence over the startup’s operations.
The CMA´s analysis included looking at various elements of the partnership, such as cloud services provided by Google and consultation rights outlined in side agreements. However, after scrutinizing company documentation and the extent of Google’s involvement, the CMA concluded that Alphabet’s position did not amount to control over Anthropic’s strategy or board-level decisions.
The UK regulator’s findings align with previous outcomes involving Amazon’s $4 billion investment in Anthropic, which the CMA also cleared this summer, finding no competitive concerns. These instances reflect a trend of tech giants making strategic investments to secure stakes in the booming AI field without traditional acquisitions.
Revenue Thresholds and Market Competition
A critical aspect of the CMA’s decision hinged on the financial details of the partnership. For a deal to be subject to a phase two investigation under UK laws, the involved company’s UK turnover must exceed £70 million.
Anthropic’s UK revenue did not meet this threshold, allowing the CMA to avoid deeper analysis. Although the authority explored whether the “share of supply” test might be relevant, the absence of any material influence by Alphabet made this consideration unnecessary.

These military collaborations have stirred debates around the ethical implications of using advanced AI in defense.
